Standard Statement of Work
This Statement of Work (“SOW”) describes the current AutoShopCalls Complete Shop offering and any separately agreed non-standard work. It is incorporated into the AutoShopCalls Master Services Agreement (“MSA”). The accepted checkout, order, invoice, proposal, or signature block identifies Customer’s selected service and may modify commercial details.
If documents conflict, the accepted order controls specific commercial terms, this SOW controls service scope, and the MSA controls legal and risk-allocation terms unless a signed writing expressly states otherwise.

One location and predictable pricing: Complete Shop includes one repair-shop location and its approved inbound phone-number configuration. Ordinary inbound call volume does not create automatic usage charges. Additional locations, outbound campaigns, resale or call-center use, premium-rate or materially higher-cost traffic, custom software, unsupported integrations, and other work outside the published scope require a separate written order or plan.
1. Parties, Effective Date, and Selected Offering
AutoShopCalls is a brand and service operated by BizAssistant.ai LLC. This SOW is between BizAssistant.ai LLC, doing business as AutoShopCalls (“AutoShopCalls”), and the Customer identified in the accepted checkout, order form, invoice, proposal, or signature block. AutoShopCalls.com is the primary website for the Services. It becomes effective when Customer affirmatively activates, accepts, pays for, or begins using paid Services.
2. Standard Service Components
Subject to the selected offering and approved configuration, AutoShopCalls.com will configure and operate an auto repair shop AI receptionist workflow that may include:
- inbound call answering when Customer’s existing number is forwarded or otherwise connected through a supported method;
- missed-call, busy-line, overflow, lunch, weekend, after-hours, or all-call coverage;
- multiple simultaneous calls, subject to technical, carrier, usage, and order-specific limits;
- one Customer repair-shop location and its approved inbound phone-number configuration;
- Customer-approved greetings, FAQs, intake questions, AI and recording disclosures, routing, transfer, and escalation rules;
- capture of caller name, phone number, reason for calling, requested service, urgency, timing preferences, location, notes, and other approved fields;
- call summaries, transcripts, recordings where enabled, tags, outcomes, and team recaps through supported email, SMS, CRM, calendar, or automation channels;
- lead, appointment, consultation, quote, booking, or service-request handling within Customer-approved boundaries;
- optional direct calendar booking or appointment-request workflows when technically supported and enabled; and
- reasonable testing, launch support, and configuration changes for the approved standard workflow.
Complete Shop includes the one location, approved inbound phone-number configuration, and published features described above. Additional locations, material workflow redesigns, custom software, unsupported integrations, extensive retraining, dedicated support, or other work outside the published offering may require a separate written order and additional fees.
3. Call Coverage, Usage Measurement, and Reasonable Use
“Customer Talk Time” means cumulative active conversation time during which the Services are connected and talking with callers, measured by AutoShopCalls.com’s or its providers’ system records. A “Talk-Time Minute” is one minute of Customer Talk Time. Simultaneous calls count separately and cumulatively. Three concurrent 10-minute calls use 30 Talk-Time Minutes.
Complete Shop includes unlimited normal inbound customer calls for one repair-shop location during each paid billing period. AutoShopCalls.com may measure Customer Talk Time, simultaneous calls, testing, repeat calls, transfers, traffic patterns, and other usage for service delivery, quality, security, fraud prevention, capacity planning, support, and reasonable-use administration. Ordinary measured usage does not create automatic per-call, per-minute, or per-customer charges. AutoShopCalls.com and provider system records control absent manifest error.
The activated Trial begins only after affirmative activation and lasts 30 days. There is no charge during the Trial. Unless Customer cancels before the Trial ends, paid Complete Shop service begins automatically when the 30-day Trial ends.
Complete Shop includes one repair-shop location. Additional locations require a separate subscription or written arrangement. AutoShopCalls.com may contact Customer, recommend a workflow change, require a separate plan, restrict abusive traffic, or suspend unlawful, fraudulent, automated, resale, call-center, destabilizing, or materially capacity-threatening use. Non-standard software or unsupported integration work is outside Complete Shop unless included in a separate written order.
4. Setup, Launch, and Customer Dependencies
Free Build. Customer may complete a customized AutoShopCalls build page without providing a payment card. The current build flow requests email to issue the private setup link and may reconfirm that email during setup. AutoShopCalls.com uses the submitted repair-shop, service, and call-handling information to prepare an Initial Private Demo for review and test calls. The Free Build does not begin the Trial, authorize charges, or start paid service.
Initial Private Demo timing. AutoShopCalls.com typically prepares the Initial Private Demo within one business day after receiving a complete and accurate build submission. This is a target, not a guaranteed service level, and applies only to the first reviewable demo. It does not include revisions, custom work, unsupported integrations, activation, production launch, phone forwarding, carrier provisioning, or going live. Timing may be extended by incomplete or inaccurate information, Customer-requested changes or delays, third-party outages, force majeure, or circumstances outside AutoShopCalls.com’s reasonable control.
Customer review. Customer must review and test the receptionist, verify business facts, scripts, prices, hours, routing, disclosures, contacts, appointment rules, escalation rules, and connected systems, and request corrections before production reliance.
Activation. Customer adds a payment method only if choosing to activate. The Trial begins only after affirmative activation. The Initial Private Demo timing target does not include activation or production launch. Production-launch timing depends on complete and accurate onboarding information, Customer approval, forwarding access, integration access, compliance decisions, testing, carrier provisioning, and third-party availability. No production-launch or go-live time is guaranteed unless an accepted order expressly states one.
5. Calendar Booking, Appointment Requests, and Call Transfers
Customer may choose staff-confirmed service-appointment requests, direct calendar booking, no scheduling, or another approved workflow. Direct booking may support Google Calendar, Apple Calendar, and Outlook Calendar where technically available.
Customer must configure and verify availability, service types, appointment durations, bay or advisor buffers, time zones, staff calendars, locations, cancellation and rescheduling rules, and conflict handling. Customer must monitor bookings and remains responsible for honoring, changing, canceling, or rescheduling service appointments.
Call transfers are performed according to Customer-approved rules and depend on carrier routing, recipient availability, and third-party systems. AutoShopCalls.com does not guarantee successful transfer, notification, appointment creation, availability accuracy, or absence of duplicate or conflicting appointments.
6. Customer Responsibilities
Customer will provide accurate and current repair-shop information, scripts, FAQs, hours, diagnostic fees, approved pricing guidance, service-appointment rules, cancellation policies, escalation contacts, compliance disclosures, and integration access. Customer will test the workflow, monitor performance, review important Output, maintain human escalation coverage, and promptly report or correct errors.
Customer is responsible for its phone forwarding, phone numbers, calendars, CRMs, inboxes, staff access, repair services, parts, workmanship, estimates, service appointments, shop claims, licenses, insurance, and legal compliance.
7. Privacy, Recording, AI Disclosure, and Messaging Compliance
Customer is responsible for legally required privacy notices, AI/bot disclosures, call-recording notices and consents, SMS and email consent, opt-in and opt-out language, do-not-call procedures, carrier compliance, and industry-specific disclosures. Customer must not remove required disclosures and must promptly honor STOP, unsubscribe, do-not-call, and other consent revocations.
AutoShopCalls.com may process recordings, transcripts, summaries, caller details, messages, appointment data, and workflow logs to provide, secure, support, troubleshoot, and improve the Services in accordance with the MSA and Privacy Policy.
Customer must not submit regulated or highly sensitive data unless the workflow and required addendum have been expressly approved in writing.
8. Service Boundaries and Prohibited Uses
The Services capture information, provide approved shop information, and route repair and service next steps. They do not replace Customer service advisors, technicians, emergency roadside services, or human judgment.
Unless separately approved in writing, Customer may not use the Services for emergency dispatch or 911 replacement, medical diagnosis or triage, medication decisions, legal advice or representation, financial or tax advice, lending, underwriting, insurance or employment eligibility, protected-class decisions, safety-critical systems, or other high-risk uses.
9. Deliverables and Exclusions
Standard deliverables may include the configured workflow, approved script, intake fields, notification recipients, recap format, forwarding instructions, integration configuration where supported, test-call review, launch checklist, and reasonable early tuning.
Unless expressly included in an order, the Services exclude custom software development, bespoke CRM development, source code, model weights, proprietary prompts, internal tooling, vendor credentials, data migration, dedicated account management, custom enterprise reporting, on-premises deployment, emergency dispatch, regulated professional advice, legal compliance review, outbound sales campaigns, and unsupported integrations.
10. Third-Party Systems
The Services rely on telephony carriers, messaging, email, calendar, CRM, cloud, AI, automation, analytics, and payment providers. Customer authorizes AutoShopCalls.com to connect approved accounts as necessary and remains responsible for third-party fees, credentials, permissions, settings, retention, and terms.
Third-party outages, policy or API changes, carrier blocking, email filtering, unavailable credentials, or Customer-system failures may affect the Services and do not constitute an AutoShopCalls breach.
11. Fees, Trial, Renewal, Cancellation, and Plan Changes
Activation and Trial. Before activation, the checkout or activation flow will display the material price, unlimited-call scope, one-location scope, reasonable-use terms, trial limits, automatic-renewal terms, and cancellation method. By affirmatively activating, Customer authorizes the Trial and, unless canceled before the Trial ends, the recurring monthly subscription and any separately authorized Non-Standard Work or taxes.
Activation acknowledgment. AutoShopCalls.com may provide a retainable electronic acknowledgment of the subscription, recurring charge, billing frequency, included scope, usage-charge policy, trial limits, cancellation policy, cancellation method, and contact information. Customer’s activation and renewal authorization may be stored as evidence of acceptance.
The activated Trial begins at activation and lasts 30 days. There is no charge when the Trial begins. Unless Customer cancels before the Trial ends, Complete Shop begins automatically when the 30-day Trial ends.
Paid Complete Shop. Complete Shop is $299 per month, billed monthly in advance, automatically renews monthly until canceled, and includes unlimited normal inbound customer calls for one repair-shop location. There are no automatic per-call, per-minute, or per-customer usage charges. Customer authorizes the recurring monthly fee, applicable taxes, and any separately agreed Non-Standard Work stated in an accepted written order and must maintain a valid payment method.
Cancellation and refunds. Customer may cancel before the Trial ends and pay nothing. Customer may cancel paid Services through any available account method or by emailing [email protected]. If Customer activated online, an online cancellation method will be available without requiring a telephone call, subject to applicable law. Paid cancellation is effective at the end of the current paid period unless the order or applicable law states otherwise. Fees and separately authorized Non-Standard Work are non-refundable and not prorated except where required by law or expressly stated in writing.
Changes. Future recurring pricing or included-scope changes may apply on at least 30 days’ advance notice before renewal. Customer may cancel before the changed renewal term. Required renewal, trial, or cancellation notices and confirmations will be provided where applicable.
12. Service Levels and No Guarantees
Except for the Initial Private Demo timing expressly stated in Section 4, no uptime, response-time, answer-rate, transfer-rate, appointment, production-launch, go-live, or support service level applies unless expressly stated in a signed order. AutoShopCalls.com does not guarantee that every call will be answered or correctly handled, every detail captured, every transfer or notification completed, or every service appointment correctly booked.
AI Output may be incomplete, inaccurate, delayed, duplicated, or unsuitable. Customer must review important Output and is solely responsible for its decisions and business results. No minimum repair-lead volume, service-appointment volume, conversion, revenue, savings, driver satisfaction, or legal compliance result is promised.
13. Term, Suspension, and Termination
This SOW continues month-to-month until canceled or terminated under the MSA. AutoShopCalls.com may suspend or terminate for non-payment, failed payment, fraud, security risk, legal or carrier risk, breach, unlawful or abusive use, excessive usage, threatened harm, or discontinuation.
Termination does not eliminate accrued payment obligations. Customer should export or preserve needed data before termination, subject to available functionality and applicable retention rules.
14. Acceptance and Electronic Signature
Customer accepts this SOW by signature, electronic acceptance, checkbox consent, checkout, payment, activation, or use of paid Services. Electronic records, checkout confirmations, payment records, and system logs may evidence acceptance.
