Governing Agreement:
This SOW is governed by and subject to the MSA between the parties. Capitalized terms not defined in this SOW have the meanings given in the MSA. If there is a conflict between this SOW and the MSA, the MSA controls unless this SOW expressly states that a specific SOW term controls for the applicable order.
2. Services
During the subscription term, AutoShopCalls will provide AI call answering workflow support for Customer’s covered auto repair shop location, subject to this SOW and the MSA.
The Services are designed to help Customer answer more inbound calls, capture vehicle and issue details, identify urgency, route callers, support booking handoff, and provide staff with clean call summaries and follow-up context.
2.1 Standard Service Components
(a) White-glove onboarding. Discovery, business-rule gathering, service list review, hours and location review, approved intake question mapping, escalation rules, summary recipients, and initial workflow design.
(b) AI call answering configuration. Initial setup of inbound call answering logic, new customer inquiry capture, vehicle and issue intake, missed-call coverage, busy-line and overflow coverage, lunch, weekend, and after-hours call coverage, routing logic, call summary flow, and booking handoff support.
(c) Booking and handoff support. Configuration of approved booking guidance, calendar availability references, appointment-request capture, callback routing, diagnostic request handling, and staff handoff rules. Actual booking capabilities depend on Customer’s approved tools, access, workflow, and any third-party system limitations.
(d) SMS and follow-up workflow support. SMS follow-up logic, confirmation-style messages, missed-call follow-up, and related workflow support where enabled and legally appropriate, subject to consent, carrier, deliverability, and fair-use limitations.
(e) Ongoing tuning. Reasonable adjustments to approved call flow, greeting, intake questions, summary format, routing, escalation, and handoff rules during the subscription term.
2.2 What the AI Call Answering Workflow May Capture
Depending on Customer’s approved workflow, AutoShopCalls may configure the AI call answering workflow to capture details such as caller name, phone number, new or existing customer status, vehicle year/make/model, issue description, urgency, preferred appointment timing, location preference, referral or ad source, callback preference, and other Customer-approved administrative information.
3. Plan, Pricing, and Included Usage
Free Trial:
The standard plan includes a 14-day free trial unless a different written ordering document states otherwise. Trial access, demo setup, and launch timing may depend on Customer responsiveness, phone setup, workflow approval, and required access.
Additional Locations:
Additional locations are not included in the standard $399/month single-location plan. Additional locations require a separate written quote, checkout, invoice, order form, or amendment.
Custom or Enterprise Use:
High-complexity workflows, multi-location groups, franchise or management-service-organization structures, outbound calling campaigns, custom integrations, unusual call volume patterns, custom software development, custom reporting, third-party platform work, or non-standard requirements may require a separate written quote, order form, or amendment.
4. Unlimited Usage, Fair Use, and Billing Changes
AutoShopCalls’ standard Auto Repair AI Call Answering plan is intended to include unlimited inbound AI-handled calls and AI-handled call minutes for normal, legitimate use by a single independent auto repair shop location. AutoShopCalls will not charge routine per-call or per-minute overage fees for normal single-location shop use under the standard plan.
“Unlimited” does not include abusive, fraudulent, artificial, auto-dialed, non-human, spam, test-loop, call-center, resale, shared-use, multi-business, multi-location, or non-auto-repair use. It also does not include usage intended to stress-test, reverse engineer, resell, repurpose, or overload the Services.
If usage becomes abnormal, abusive, technically disruptive, commercially unreasonable, or materially different from normal single-location auto repair shop use, AutoShopCalls may work with Customer in good faith to adjust workflow, block abusive traffic, add filters, modify routing, require a custom plan, suspend abusive usage, or move Customer to a separately quoted plan going forward.
AutoShopCalls will not issue surprise retroactive overage bills for normal single-location auto repair shop call volume. However, pass-through carrier charges, third-party charges, special phone-number costs, custom development, custom integrations, additional locations, outbound campaigns, unusually high SMS usage, or other non-standard add-ons may be billed separately if stated in the checkout, invoice, order form, this SOW, the MSA, or a later written amendment.
5. Customer Responsibilities
Customer will provide accurate and complete shop information, services offered, locations, hours, approved intake questions, pricing language, promotion language, warranty language, deposit/cancellation policy, escalation contacts, SMS and call recording consent instructions, privacy notices, urgent-call instructions, and any required business rules.
Customer is responsible for reviewing and approving all scripts, disclosures, service descriptions, advertising claims, customer communications, privacy notices, call recording notices, SMS language, consent language, urgent-call instructions, and escalation rules before launch.
Customer must promptly review setup materials, test calls, AI outputs, call summaries, booking handoff behavior, routing rules, and escalation rules and notify AutoShopCalls of needed changes.
6. Repair, Estimate, and Safety Boundaries
AutoShopCalls does not provide repair diagnosis, binding estimates, mechanic advice, safety determinations, parts availability guarantees, warranty determinations, emergency dispatch, towing decisions, or operation of Customer’s shop.
The AI call answering workflow must not be used as a substitute for qualified service advisors, technicians, managers, inspections, diagnostics, estimates, or human judgment. Customer remains solely responsible for repairs, diagnostics, estimates, scheduling decisions, technician work, customer disputes, and business operations.
Customer must provide escalation rules for urgent issues, tow-ins, no-starts, brake concerns, comeback concerns, warranty questions, complaints, status requests, after-hours instructions, and any other situations requiring human staff review.
7. Privacy, Security, Call Recording, and SMS
Customer is responsible for determining and providing legally required privacy notices, call recording disclosures, SMS consent language, opt-out language, customer communication rules, and any state-specific requirements that apply to Customer’s shop and callers.
Where applicable, Customer must obtain all required consents for call recording, SMS messaging, automated messaging, marketing communications, and customer communications. Customer must not direct AutoShopCalls to send messages or collect information in a way that violates applicable law, platform rules, or carrier requirements.
AutoShopCalls may use third-party infrastructure providers, communications providers, AI providers, hosting providers, workflow tools, and other subprocessors or vendors to provide the Services, subject to the MSA and applicable written agreements.
8. Deliverables
Standard deliverables may include a private build intake review, configured AI call answering flow, approved call greeting, intake question set, vehicle and issue capture flow, summary format, handoff rules, escalation rules, SMS follow-up logic where enabled, phone routing setup guidance, launch test calls, and ongoing tuning during the subscription term.
Deliverables do not include custom software development, legal review, advertising compliance review, complex integrations, custom analytics, shop-management-system implementation, CRM migration, staff training beyond the standard launch process, or third-party subscription costs unless expressly stated in writing.
9. Integrations and Third-Party Tools
AutoShopCalls may assist with approved phone, email, calendar, CRM, SMS, form, website, or workflow tools as stated in the applicable checkout, invoice, order form, onboarding plan, or written amendment. Integration availability depends on third-party access, API limitations, vendor permissions, Customer’s subscription level, Customer responsiveness, and technical feasibility.
Unless expressly stated in writing, AutoShopCalls does not guarantee native integration with any specific third-party platform, including any scheduling, CRM, shop-management, payment, marketing, or phone-system provider. If a direct integration is not available or appropriate, AutoShopCalls may provide a handoff-based workflow, such as call summaries, booking requests, email notifications, SMS notifications, or staff callback tasks.
Customer is responsible for all third-party fees, subscriptions, permissions, account access, platform settings, and vendor approvals required to support Customer’s selected workflow.
10. Timeline and Launch
Launch timing depends on Customer responsiveness, phone setup, calendar or CRM access, service-list complexity, location count, approval cycles, third-party availability, and the complexity of the approved workflow. AutoShopCalls will use commercially reasonable efforts to move setup forward after receiving the required information, access, and approvals.
Customer understands that launch may be delayed if Customer does not provide required shop details, approved scripts, escalation rules, account access, call routing information, testing feedback, or compliance instructions.
11. Fees and Payment
Subscription fees are due according to the applicable checkout, invoice, order form, or billing instructions. Unless otherwise stated in writing, subscription fees are billed in advance after the applicable 14-day free trial and do not include taxes, carrier pass-through charges, third-party fees, custom work, extra locations, or non-standard add-ons.
Stripe checkout, invoice payment, or another approved payment method may be used for secure activation. If no final checkout link is listed in this SOW, Customer should use the live checkout link or invoice provided by AutoShopCalls for the selected plan.
AutoShopCalls may update pricing for future renewal terms or future orders by providing notice or by issuing an updated checkout, invoice, order form, SOW, or amendment, subject to the MSA and applicable law.
12. Excluded Services
Unless expressly included in writing, the Services do not include repair diagnosis, technician labor, estimate preparation, parts ordering, towing dispatch, legal advice, compliance advice, ad campaign management, website rebuilds, custom software engineering, custom reporting beyond standard summaries, shop-management-system implementation, custom security review, management of Customer’s staff, or operation of Customer’s business.
13. AI Limitations and Human Review
Customer understands that AI systems may misunderstand callers, misclassify intent, omit details, summarize imperfectly, experience latency, fail to complete a workflow, or provide inaccurate or incomplete outputs. AutoShopCalls will use commercially reasonable efforts to configure and tune the workflow, but AutoShopCalls does not guarantee that every call will be answered perfectly, summarized perfectly, routed correctly, or converted into a booked appointment.
Customer is responsible for staff review of call summaries, transcripts, recordings where available, booking requests, escalations, and any customer-facing outputs. Customer must notify AutoShopCalls promptly if it identifies inaccurate information, inappropriate responses, routing issues, compliance concerns, or needed workflow changes.
14. Acceptance
The setup is considered accepted when Customer approves launch, uses the Services in live operation, or does not report a material setup issue within five business days after receiving launch-ready materials or launch instructions.
Customer’s use of the Services in live operation confirms that Customer has reviewed and approved the applicable scripts, intake flow, disclosures, routing rules, escalation instructions, and handoff workflow.
15. Signatures
This SOW may be accepted by signature, electronic signature, checkout activation, payment of an invoice, or other written approval referencing this SOW, subject to the MSA.
